Ad-hoc announcement in compliance with § 15 WpHG

The Supervisory Board of euromicron AG, which comprises three members, decided today by consensus to withdraw its proposal announced in the invitation to the Annual General Meeting originally scheduled for June 7, 2016, on being re-elected for the Supervisory Board. Each nomination from shareholders the company has received includes only two candidates for the Supervisory Board to be newly elected.

The Executive Board has therefore together with the Supervisory Board decided to postpone the Annual General Meeting scheduled for June 7, 2016, in the interests of the company and its shareholders. This decision is to ensure that the Annual General Meeting can be presented with an election proposal which is capable of receiving a majority on forming a new Supervisory Board that can work together in a forward-looking, efficient and constructive manner for the benefit of the company. At the same time, the postponement will allow for sufficient examination by the shareholders with regard to the suitability of the new independent candidates.

Thus the announcement published in the Federal Gazette on April 28, 2016, is void. The Annual General Meeting of euromicron AG will be held in August 2016 at the latest. The Executive and Supervisory Boards currently expect the agenda items already published to remain unchanged for the new Annual General Meeting which has yet to be scheduled, with the exception of the nominations to the Supervisory Board. The Executive Board will make the relevant convocation including the agenda known in the Federal Gazette in good time.
